Marketplace Terms

The rules for vendors and buyers using the NoFortune marketplace for marketing and creative services.

1. Overview and Scope

These Marketplace Terms ("Marketplace Terms") govern your use of the NoFortune marketplace, including acting as a vendor (supplier of services) and as a buyer (purchaser of services). They are incorporated into our Terms of Service. Capitalized terms have the meanings given in these Marketplace Terms or the Terms of Service.

By listing, selling, or purchasing on the marketplace, you agree to these Marketplace Terms, our Refund Policy, and our Disclosures. NoFortune acts as a platform and, in some cases, as the merchant of record for orders. We may fulfill services directly, through vendors, or through third-party fulfillment panels.

2. Definitions

  • Vendor means any person or entity that lists, offers, or fulfills a service through the marketplace, including partners and suppliers.
  • Buyer means any person or entity that purchases a service through the marketplace.
  • Service means any marketing, creative, fulfillment, subscription, or other offering listed on the marketplace.
  • Order means a buyer's request to purchase one or more Services.
  • Fulfillment means delivery of a Service, whether by NoFortune, a vendor, or a third-party panel.

3. Vendor Obligations

As a Vendor, you agree to:

  • Provide accurate, complete, and lawful listings, including pricing, turnaround, deliverables, and requirements.
  • Fulfill orders in a professional and timely manner and communicate proactively with NoFortune and the buyer (where applicable).
  • Maintain all necessary licenses, rights, and consents to deliver the Services you offer.
  • Not offer services that are fraudulent, deceptive, or that violate platform or third-party policies, including social platform terms.
  • Use only legitimate methods; you are solely responsible for the consequences of any prohibited fulfillment method.
  • Keep NoFortune and its affiliates harmless from claims arising from your services and your clients.

NoFortune may remove, edit, reprice, or deactivate any listing at any time in its sole discretion, and may limit or revoke vendor access without notice.

4. Vendor Service Standards

Vendors are expected to meet the turnaround and deliverable commitments stated in their listings. If a Service cannot be delivered as described, the vendor must promptly notify NoFortune. NoFortune may, at its sole discretion, substitute vendors, issue partial or full refunds to the buyer, or re-perform the Service, and may adjust the vendor's compensation accordingly. NoFortune does not guarantee any specific outcome from any Service and is not liable for vendor performance beyond refunding amounts actually paid where required by our Refund Policy.

5. Vendor Payouts and Fees

Vendors are paid according to the terms agreed at the time of listing or in a separate vendor agreement. NoFortune may retain a platform fee, fulfillment fee, or margin on each order. Payouts are made only for completed, undisputed orders, and may be withheld, delayed, or reversed for cancelled, refunded, chargebacked, or fraudulent orders. Vendors are responsible for their own taxes. NoFortune may adjust vendor pricing, fees, and margins on a going-forward basis.

6. Buyer Obligations

As a Buyer, you agree to:

  • Provide accurate and complete information required to fulfill each Service, including assets, links, access, and intake answers.
  • Pay all amounts due at the time of order and authorize recurring charges for subscriptions until cancellation.
  • Comply with the terms of any platform your Service involves (for example, social platform terms of service).
  • Not abuse, dispute in bad faith, or misrepresent orders, and not to request services for unlawful purposes.
  • Acknowledge that many Services depend on third-party platforms and that NoFortune cannot guarantee outcomes.

7. Orders and Fulfillment

An Order is a request to purchase. NoFortune may accept, decline, or modify an Order before fulfillment begins. Fulfillment timelines are estimates and may vary based on factors outside our control, including platform behavior, third-party provider availability, and completeness of buyer-provided information. Delays caused by incomplete or inaccurate buyer information or third-party actions do not constitute a breach by NoFortune.

For "Ghost" or auto-fulfilled Services, fulfillment is routed through third-party panels; NoFortune is not responsible for third-party panel errors, refills, or cancellations beyond what those panels offer.

8. Pricing and Payment

Listed prices are in U.S. dollars unless stated otherwise and may change at any time. NoFortune may offer discounts, credits, and custom pricing. Where marketplace credits are applied, they have no cash value except as expressly stated. We may apply taxes as required by law. All payments are processed through Stripe.

9. Refunds and Chargebacks

Refunds are governed by our Refund Policy. Initiating a chargeback without first contacting NoFortune may result in suspension of the marketplace and the buyer account. NoFortune reserves the right to dispute chargebacks and to recover amounts through any lawful means.

10. Platform & Service Risks

By purchasing services through NoFortune, you acknowledge that many services rely on third-party platforms, providers, creators, and algorithms that are outside of NoFortune's control.

NoFortune cannot guarantee any specific results, metrics, revenue, rankings, followers, streams, engagement, placements, approvals, or account status.

The customer understands and agrees that NoFortune is not responsible for losses, penalties, delays, or changes caused by third-party platforms, vendors, creators, or external services.

Examples include, but are not limited to:

  • Social media account suspensions, restrictions, warnings, demonetization, or bans.
  • Removal of music, albums, podcasts, videos, or other content by Spotify, Apple Music, YouTube, TikTok, Meta, SoundCloud, Amazon Music, or any other platform.
  • Streams, followers, views, likes, subscribers, reviews, backlinks, rankings, or engagement being removed, filtered, discounted, or determined to be invalid by a platform.
  • Algorithm updates that reduce reach, impressions, rankings, visibility, or performance.
  • Search engine updates affecting SEO rankings or indexed pages.
  • Google Business Profile suspensions, verification failures, or review removals.
  • Social media verification denials or badge removals.
  • Influencers failing to publish content on schedule or changing their content after publication.
  • Publishers declining, editing, removing, delaying, or rejecting articles.
  • Editorial websites updating or removing previously published content.
  • Platform outages, API failures, software bugs, technical issues, or maintenance windows.
  • Changes to platform policies, advertising policies, eligibility requirements, or terms of service.
  • Payment processor holds, delays, chargebacks, or account reviews.
  • Domain, hosting, email, DNS, CDN, or third-party software failures.
  • AI-generated content producing inaccurate, incomplete, or unexpected results.
  • Copyright claims, Content ID matches, trademark disputes, or intellectual property complaints initiated by third parties.
  • Vendors becoming unavailable, going out of business, missing deadlines, or discontinuing a service.
  • Marketplace partners changing pricing, service offerings, turnaround times, or availability.
  • Shipping delays, manufacturing defects, or fulfillment issues for physical products.
  • Losses resulting from hacking, phishing, compromised credentials, malware, or unauthorized access to customer-owned accounts, unless directly caused by NoFortune's own negligence.
  • Any actions taken by a customer or third party that violate platform policies or applicable laws.

NoFortune may use independent contractors, agencies, freelancers, software providers, AI systems, and marketplace vendors to fulfill services. While we carefully select our partners, NoFortune is not liable for indirect damages, lost profits, business interruption, reputational harm, or consequential losses resulting from the actions or omissions of third-party providers.

If a vendor is unable to complete a purchased service, NoFortune may, at its sole discretion:

  • Assign a different qualified vendor.
  • Provide store credit.
  • Issue a partial refund.
  • Issue a full refund if the service cannot reasonably be fulfilled.

Service estimates and turnaround times are approximate and are not guaranteed. Delays caused by vendors, publishers, influencers, platforms, holidays, customer response times, or events outside of NoFortune's reasonable control do not constitute a breach of service.

Customers are solely responsible for ensuring that any requested marketing campaign, promotional activity, content, or service complies with the rules, terms, and policies of the platforms on which it is used.

NoFortune reserves the right to refuse, modify, pause, or cancel any order that we reasonably believe violates platform rules, applicable law, or our internal policies.

11. Listings and Intellectual Property

Vendors retain ownership of their listing content but grant NoFortune a license to host, display, edit, and promote it. Vendors warrant that listings do not infringe third-party rights. NoFortune may display listings across the magazine and marketplace and may reformat or reprice them. Infringing or unlawful listings may be removed without notice, and repeat infringers may be terminated under our DMCA / Copyright Policy.

12. Prohibited Listings and Conduct

The following are prohibited on the marketplace:

  • Services that violate any law or third-party platform policy.
  • Fraudulent, bot-driven, or fake engagement services where prohibited.
  • Services requiring the buyer to provide credentials in violation of platform terms.
  • Infringing, stolen, or plagiarized content.
  • Off-platform payment circumvention and fee avoidance.
  • Any conduct prohibited by our Terms of Service Acceptable Use section.

13. Disputes and Resolution

Disputes between buyers, vendors, and NoFortune will be resolved in NoFortune's sole discretion. NoFortune may, but is not obligated to, mediate. Our decisions regarding refunds, payouts, and account actions are final. All disputes are subject to the dispute resolution and arbitration provisions of our Terms of Service.

14. Account Suspension and Balances

NoFortune may suspend or terminate any account for violation of these Marketplace Terms. Upon suspension for cause, NoFortune may forfeit pending commissions, vendor payouts, or marketplace credit balances where permitted by law. Marketplace credits and unpaid commissions are not property and confer no ownership interest.

15. Limitation of Liability

To the maximum extent permitted by law, NoFortune's liability for any marketplace order is limited as set out in our Terms of Service, and in no event exceeds the amount actually paid for the order giving rise to the claim. NoFortune is not liable for the acts of vendors, buyers, or third-party platforms.

16. Indemnification

Vendors and buyers each indemnify NoFortune as set out in our Terms of Service. Vendors specifically indemnify NoFortune for claims arising from their Services, listings, and clients; buyers specifically indemnify NoFortune for claims arising from their orders and conduct.

17. Changes to These Marketplace Terms

We may update these Marketplace Terms at any time. Continued use of the marketplace after a change constitutes acceptance. The "Last updated" date reflects the most recent revision.
